1. Acceptance of Terms

By accessing our website, engaging our services, signing a project agreement, or making a payment to Appvelo Solutions ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to comply with and be bound by these Terms of Service.

These terms apply to all services provided by Appvelo Solutions, including but not limited to web development, mobile application development, UI/UX design, technical consulting, and maintenance services.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Definitions

For the purposes of these Terms of Service, the following definitions apply:

"Services" means all professional services provided by Appvelo Solutions, including web development, mobile app development, UI/UX design, consulting, and support services.

"Project" means any specific work engagement governed by a separate project agreement or statement of work.

"Deliverables" means all materials, code, designs, documentation, and other work products created by Appvelo Solutions for the Client.

"Client Content" means all materials, information, data, text, images, and other content provided by the Client for use in the Project.

"Confidential Information" means any non-public, proprietary information disclosed by either party during the course of the engagement.

3. Our Services

Appvelo Solutions provides professional digital development and design services including:

  • API development and integration
  • Website maintenance and updates

3.2 Mobile Application Development

  • Cross-platform mobile app development
  • Native iOS and Android applications
  • Mobile app UI/UX design
  • App Store deployment and optimization

3.3 UI/UX Design Services

  • User interface and user experience design
  • Wireframing and prototyping
  • Design system creation
  • User research and testing

3.4 Additional Services

  • Technical consulting and strategy
  • Digital transformation services
  • Performance optimization
  • Training and documentation

4. Client Responsibilities

To ensure successful project completion, the Client agrees to:

4.1 Content and Materials

  • Provide all necessary content, materials, and information in a timely manner
  • Ensure all Client Content is accurate, legal, and does not infringe on third-party rights
  • Obtain necessary permissions and licenses for any third-party materials
  • Review and approve deliverables within specified timeframes

4.2 Communication and Feedback

  • Maintain regular communication and respond to inquiries promptly
  • Provide clear, constructive feedback during review periods
  • Designate authorized representatives for project decisions
  • Attend scheduled meetings and calls

4.3 Technical Requirements

  • Provide access to necessary systems, accounts, and resources
  • Ensure hosting and domain requirements are met
  • Maintain appropriate backups of existing systems
  • Test deliverables in your environment when required

4.4 Legal Compliance

  • Ensure compliance with applicable laws and regulations
  • Obtain necessary business licenses and permits
  • Comply with privacy laws and data protection regulations
  • Indemnify Appvelo Solutions against claims arising from Client Content

5. Payment Terms

5.1 Fees and Pricing

Project fees are specified in individual project agreements. All prices are quoted in USD unless otherwise specified. Pricing may vary based on project scope, complexity, and timeline.

5.2 Payment Schedule

  • Project Initiation: 50% deposit required before work begins
  • Milestone Payments: As specified in project agreement
  • Final Payment: Remaining balance due upon project completion
  • Monthly Services: Billed monthly in advance

5.3 Payment Methods

We accept payment via bank transfer, online payment platforms, and other methods as agreed. Payment processing fees may apply.

5.4 Late Payments

  • Invoices are due within 15 days of issuance
  • Late payments may incur fees of 1.5% per month
  • Work may be suspended for accounts over 30 days past due
  • Collection costs may be charged to delinquent accounts

5.5 Refunds

Refunds are handled on a case-by-case basis. Completed work and third-party costs are generally non-refundable. Any refund requests must be submitted in writing.

6. Intellectual Property Rights

6.1 Work Product Ownership

Upon full payment of all fees, Client receives ownership of custom code, designs, and deliverables created specifically for the project ("Work Product").

6.2 Appvelo Solutions Retained Rights

  • Pre-existing intellectual property and proprietary methodologies
  • General knowledge, skills, and experience
  • Third-party tools, frameworks, and open-source components
  • Right to showcase completed work in portfolio (unless confidentiality agreement specifies otherwise)

6.3 Third-Party Components

Projects may include third-party software, frameworks, and tools subject to their respective licenses. Client is responsible for compliance with such licenses.

6.4 Client Content Rights

Client retains ownership of all Client Content. Client grants Appvelo Solutions a license to use Client Content solely for project completion.

7. Project Timeline and Milestones

7.1 Timeline Estimates

Project timelines are estimates based on scope and requirements at the time of agreement. Actual completion dates may vary based on complexity, changes, and client responsiveness.

7.2 Dependencies

Timeline depends on:

  • Timely provision of Client Content and feedback
  • Availability of required resources and access
  • Scope changes and revision requests
  • Third-party integrations and approvals

7.3 Delays

Appvelo Solutions is not liable for delays caused by client actions, third-party services, force majeure events, or scope changes.

8. Changes and Revisions

8.1 Scope Changes

Changes to project scope require written approval and may affect timeline and cost. Additional work will be billed at our standard rates.

8.2 Revision Rounds

Each project includes a specified number of revision rounds. Additional revisions beyond the agreed amount will be charged separately.

8.3 Change Request Process

  1. Client submits change request in writing
  2. We provide impact assessment and cost estimate
  3. Client approves changes and additional costs
  4. Work proceeds with updated timeline and budget

9. Confidentiality

Both parties agree to maintain confidentiality of sensitive information:

9.1 Confidential Information

  • Business strategies, plans, and financial information
  • Technical specifications and proprietary processes
  • Customer lists and personal data
  • Any information marked as confidential

9.2 Obligations

  • Use confidential information only for project purposes
  • Implement reasonable security measures
  • Limit access to authorized personnel
  • Return or destroy confidential information upon request

9.3 Exceptions

Confidentiality obligations do not apply to information that is:

  • Publicly available
  • Independently developed
  • Required to be disclosed by law
  • Previously known without confidentiality restrictions

10. Warranties and Disclaimers

10.1 Our Warranties

Appvelo Solutions warrants that:

  • Services will be performed with professional skill and care
  • Work will be free from material defects for 30 days after delivery
  • We have the authority to provide the services
  • Services will comply with agreed specifications

10.2 Client Warranties

Client warrants that:

  • Client Content is accurate and legally compliant
  • Client has authority to enter into agreements
  • No Client Content infringes third-party rights
  • All necessary permissions have been obtained

10.3 Disclaimers

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

11.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPVELO SOLUTIONS' TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.

11.2 Exclusion of Consequential Damages

IN NO EVENT SHALL APPVELO SOLUTIONS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.

11.3 Exceptions

These limitations do not apply to:

  • Gross negligence or willful misconduct
  • Breach of confidentiality obligations
  • Indemnification obligations
  • Violations that cannot be limited by law

12. Termination

12.1 Termination by Client

Client may terminate services with 15 days written notice. Client remains liable for all work completed and costs incurred up to termination date.

12.2 Termination by Appvelo Solutions

We may terminate services immediately for:

  • Non-payment of fees
  • Material breach of these terms
  • Illegal or unethical requests
  • Failure to provide necessary cooperation
